TYPICALIFE — TERMS AND CONDITIONS & SERVICE POLICIES

These Terms and Conditions and Service Policies (“Terms”) govern all consulting, advisory, planning, coordination, lifestyle, concierge, customized planning, gift card, and other services offered by TypicaLife (“TypicaLife,” “we,” “us,” or “our”) through www.typicalife.com, by email, or through any other authorized TypicaLife channel.

By submitting a service request, placing an order, purchasing a service, or making a payment, the customer (“Client,” “you,” or “your”) acknowledges having read and agreed to these Terms together with any service-specific terms, proposal, quotation, description, restriction, cancellation policy, or other condition disclosed before purchase.



 1.⁠ ⁠NATURE OF TYPICALIFE SERVICES

TypicaLife primarily provides personalized consulting, advisory, lifestyle planning, research, coordination, concierge, and related services.

TypicaLife is not an airline, hotel, transportation company, restaurant, attraction, or other independent third-party provider.

Unless expressly stated otherwise for a particular transaction, TypicaLife does not sell the independent services of such third parties as its own.

Where TypicaLife identifies, recommends, researches, introduces, communicates with, or coordinates with third-party providers as part of its consulting services, those providers remain independent businesses responsible for the products and services they provide.

Nothing in these Terms is intended to mischaracterize the legal nature of any transaction or avoid any law that applies based upon the services actually performed.



 2.⁠ ⁠PRIOR APPROVAL AND ACCEPTANCE

All orders, purchases, and service requests are subject to availability, review, and final acceptance by TypicaLife.

PLACING AN ORDER, MAKING A PAYMENT, RECEIVING AN ORDER NUMBER, PAYMENT RECEIPT, OR AUTOMATED SHOPIFY COMMUNICATION DOES NOT, BY ITSELF, CONSTITUTE FINAL ACCEPTANCE BY TYPICALIFE.

Certain TypicaLife services are offered only to existing, referred, selected, or previously approved Clients or following prior consultation.

Where a product or service page states that prior approval, consultation, or arrangement is required, the Client must contact TypicaLife and obtain such approval before purchasing.

A service request is accepted only when TypicaLife expressly confirms acceptance.

TypicaLife may decline or cancel an order before final acceptance where:

•⁠ ⁠required prior approval was not obtained;
•⁠ ⁠prior consultation or arrangement was required but did not occur;
•⁠ ⁠the requested service or date is unavailable;
•⁠ ⁠a participation or eligibility requirement has not been satisfied;
•⁠ ⁠information supplied by the Client is materially incomplete or inaccurate;
•⁠ ⁠payment cannot be verified or authorized;
•⁠ ⁠fraud or unauthorized activity is reasonably suspected;
•⁠ ⁠an obvious material pricing, technical, or description error has occurred;
•⁠ ⁠providing the requested service would be impossible, unlawful, or unsafe;
•⁠ ⁠a necessary independent provider is unavailable; or
•⁠ ⁠another material condition clearly disclosed before purchase has not been satisfied.

TypicaLife has no obligation to accept or perform a service expressly identified as requiring prior approval where the Client purchased without first obtaining that approval.

If TypicaLife declines an unaccepted order, any amount actually collected for services that will not be provided will be refunded.

Except where otherwise required by law, cancellation of an unaccepted order does not entitle the Client to additional or consequential compensation.



 3.⁠ ⁠AUTOMATED SHOPIFY AND PAYMENT COMMUNICATIONS

TypicaLife uses third-party e-commerce and payment technology, including Shopify and payment processors.

Automated order confirmations, receipts, payment authorizations, order numbers, or similar electronic communications confirm only that an electronic transaction or request has been received or processed.

They do not constitute TypicaLife’s final acceptance of a consulting, advisory, coordination, concierge, gift-card, or other service request.

Final acceptance must come expressly from TypicaLife.



 4.⁠ ⁠SERVICE SCOPE

The precise scope of a TypicaLife engagement may be established through:

•⁠ ⁠the applicable website service description;
•⁠ ⁠a written proposal;
•⁠ ⁠a quotation;
•⁠ ⁠written correspondence;
•⁠ ⁠a service-specific agreement; or
•⁠ ⁠another written confirmation issued by TypicaLife.

Services outside the agreed scope may require additional fees and separate approval.

TypicaLife may reasonably request information, documentation, preferences, decisions, or cooperation necessary to perform the agreed services.



 5.⁠ ⁠PRICES AND FEES

Prices may depend upon:

•⁠ ⁠scope of service;
•⁠ ⁠complexity;
•⁠ ⁠time required;
•⁠ ⁠number of Clients or participants;
•⁠ ⁠dates and duration;
•⁠ ⁠location;
•⁠ ⁠requested level of customization;
•⁠ ⁠research and coordination requirements; and
•⁠ ⁠other factors disclosed before purchase.

The Client is responsible for reviewing the price, description, inclusions, exclusions, and restrictions before purchasing.

Mandatory TypicaLife charges will be disclosed as required by applicable law.

Unless expressly stated otherwise, amounts payable to independent third-party providers are separate from TypicaLife’s consulting or service fees.



 6.⁠ ⁠PRICING AND TECHNICAL ERRORS

TypicaLife makes reasonable efforts to maintain accurate pricing and website information.

TypicaLife may correct an obvious material typographical, technical, pricing, availability, or description error before final acceptance.

Where an error materially affects an order, TypicaLife may offer corrected terms.

If the Client does not accept the corrected terms, or TypicaLife cannot provide the requested service, the affected order may be cancelled and amounts collected for services that will not be provided will be refunded.



 7.⁠ ⁠CONSULTING AND ADVISORY SERVICES

TypicaLife may provide personalized research, recommendations, strategic advice, lifestyle assistance, planning, introductions, coordination, and concierge support.

Recommendations are based upon information reasonably available at the time.

Availability, prices, operating conditions, quality, policies, and other circumstances relating to independent providers may change without TypicaLife’s control.

Unless TypicaLife expressly guarantees a particular result in writing, consulting and advisory services do not guarantee a specific outcome.

The Client remains responsible for reviewing and approving material personal or business decisions resulting from the consultation.



 8.⁠ ⁠THIRD-PARTY PROVIDERS

TypicaLife may identify, recommend, research, introduce, or communicate with independent third-party providers.

These may include hotels, restaurants, transportation providers, professional service providers, guides, attractions, venues, activity providers, and other independent businesses.

Independent providers establish and control their own:

•⁠ ⁠prices;
•⁠ ⁠availability;
•⁠ ⁠terms;
•⁠ ⁠cancellation policies;
•⁠ ⁠safety requirements;
•⁠ ⁠service standards; and
•⁠ ⁠contractual obligations.

Where the Client contracts directly with an independent provider, the resulting agreement is between the Client and that provider.

TypicaLife is not a party to that contract unless expressly stated otherwise in writing.

Nothing in this provision eliminates any responsibility that applicable law places upon TypicaLife based upon the actual transaction.



 9.⁠ ⁠THIRD-PARTY PAYMENTS

Unless expressly agreed otherwise, Clients are responsible for paying independent providers directly.

TypicaLife’s consulting, advisory, planning, coordination, or concierge fee is separate from amounts charged by independent providers.

Where TypicaLife is expressly authorized to facilitate or transmit a payment or incur an expense on the Client’s behalf, the applicable conditions will be disclosed separately.



10.⁠ ⁠MINIMUM PARTICIPATION REQUIREMENTS

Certain group consulting services, private activities, workshops, events, or experiences may require a minimum number of participants.

Where a service is expressly stated to require a minimum of 8 participants, or another specified minimum, that requirement applies unless TypicaLife expressly waives it.

If the required minimum is not reached, TypicaLife may cancel the affected service.

Amounts collected by TypicaLife for services that TypicaLife will not provide because of such cancellation will be refunded as required by applicable law.



11.⁠ ⁠CLIENT CANCELLATION AND REFUND POLICY

Cancellation and refund conditions may vary according to the service purchased.

The applicable cancellation policy will be disclosed for the specific service before the Client becomes bound.

Once TypicaLife has accepted a service request and begun performing consulting, research, planning, customization, coordination, or other work, some or all fees may become non-refundable where clearly disclosed and permitted by applicable law.

Where a service is expressly identified as non-refundable, Client cancellation because of illness, personal emergency, employment circumstances, transportation disruption, change of plans, or other circumstances affecting the Client does not create a contractual right to a refund except where:

•⁠ ⁠the applicable service-specific terms provide otherwise;
•⁠ ⁠TypicaLife voluntarily agrees otherwise; or
•⁠ ⁠applicable law requires otherwise.

Nothing in these Terms eliminates any statutory refund or cancellation right that cannot lawfully be waived.



12.⁠ ⁠REPLACEMENT PARTICIPANTS AND $400 ADMINISTRATIVE FEE

For group services where this condition is expressly disclosed before purchase, if a Client cancels and that Client’s place is subsequently filled by another paying participant, TypicaLife may provide a partial refund after deducting:

•⁠ ⁠non-recoverable expenses; and
•⁠ ⁠a $400 administrative fee.

This provision applies only when expressly incorporated into the conditions of the applicable service.

It does not automatically apply to every TypicaLife service.



13.⁠ ⁠CANCELLATION BY TYPICALIFE

TypicaLife may cancel an accepted service where performance becomes impossible, unlawful, unsafe, or materially impracticable.

Where TypicaLife cancels a service, any refund, credit, rescheduling, alternative service, or other remedy will depend upon:

•⁠ ⁠services already performed;
•⁠ ⁠expenses properly incurred;
•⁠ ⁠applicable service-specific conditions; and
•⁠ ⁠applicable law.

TypicaLife will not retain amounts where applicable law requires their return.



14.⁠ ⁠INSURANCE

Where a Client’s plans involve travel, events, advance expenses, activities, or other material financial commitments, appropriate insurance is strongly recommended.

Depending upon the circumstances, Clients may wish to consider coverage for cancellation, interruption, illness, injury, medical emergencies, transportation disruption, baggage, or other relevant risks.

TypicaLife does not sell or guarantee insurance unless expressly stated otherwise and does not guarantee the availability, adequacy, terms, or coverage of any third-party insurance policy.

The decision whether to purchase insurance and selection of appropriate coverage remain the Client’s responsibility.



15.⁠ ⁠HEALTH, FITNESS, AND PARTICIPATION

Some activities recommended, coordinated, or associated with TypicaLife services may involve physical activity, walking, hiking, cooking, food and beverage experiences, recreational activities, or other participation requirements.

Participants are responsible for determining whether they can safely participate.

Where appropriate, participants should obtain advice from their own qualified healthcare professional.

Clients should notify TypicaLife of relevant accessibility requirements or other needs that materially affect the requested service so that reasonable arrangements can be considered.

TypicaLife does not provide medical advice.



16.⁠ ⁠ASSUMPTION OF INHERENT RISKS

Activities, events, transportation, physical activities, food and beverage experiences, and unfamiliar environments may involve inherent risks.

By voluntarily participating, Clients acknowledge and accept the ordinary and inherent risks reasonably associated with activities they choose to undertake.

Participants must follow reasonable safety instructions provided by applicable venues, providers, guides, or TypicaLife.

Nothing in this section waives any right or liability that cannot legally be waived.



17.⁠ ⁠LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, TypicaLife and its owners, employees, representatives, contractors, and agents will not be responsible for losses, damages, injuries, delays, or expenses resulting from:

•⁠ ⁠circumstances outside TypicaLife’s reasonable control;
•⁠ ⁠ordinary inherent risks voluntarily assumed by the Client;
•⁠ ⁠failure to follow reasonable safety instructions;
•⁠ ⁠materially relevant information withheld by the Client;
•⁠ ⁠independent arrangements or decisions made by the Client;
•⁠ ⁠unlawful, reckless, or intentionally dangerous conduct by the Client; or
•⁠ ⁠acts or omissions of independent providers, except where applicable law imposes responsibility upon TypicaLife.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or other liability that applicable law does not permit TypicaLife to exclude or limit.



18.⁠ ⁠CHANGES TO SERVICES OR PLANS

Circumstances may require reasonable changes to schedules, recommendations, providers, venues, activities, or plans.

Such circumstances may include weather, provider availability, venue closure, illness, transportation disruption, safety concerns, governmental action, strikes, natural events, or other circumstances outside TypicaLife’s reasonable control.

Where reasonably practicable, TypicaLife may recommend or coordinate a comparable alternative.

Material changes to services purchased directly from TypicaLife will be handled in accordance with applicable law.



19.⁠ ⁠FORCE MAJEURE

To the extent permitted by applicable law, TypicaLife will not be responsible for delay or failure caused by circumstances outside its reasonable control, including:

•⁠ ⁠severe weather;
•⁠ ⁠natural disasters;
•⁠ ⁠fire or flood;
•⁠ ⁠epidemics or pandemics;
•⁠ ⁠governmental restrictions;
•⁠ ⁠border closures;
•⁠ ⁠war;
•⁠ ⁠terrorism;
•⁠ ⁠civil unrest;
•⁠ ⁠strikes;
•⁠ ⁠major transportation disruption; or
•⁠ ⁠comparable extraordinary events.

Applicable refund, credit, rescheduling, or other rights will be determined by the relevant service conditions and applicable law.



20.⁠ ⁠CLIENT INFORMATION

Clients must provide complete, accurate, and current information reasonably necessary for TypicaLife to perform the requested service.

TypicaLife is not responsible, except where applicable law provides otherwise, for additional costs, delays, or inability to provide a service resulting directly from materially inaccurate or incomplete information supplied by the Client.



21.⁠ ⁠CLIENT CONDUCT

Clients must behave lawfully and reasonably and respect TypicaLife personnel, other participants, independent providers, property, and other persons.

TypicaLife may discontinue services where a Client engages in violent, threatening, abusive, dangerous, seriously disruptive, fraudulent, or unlawful conduct.

Any resulting refund entitlement will depend upon services already performed, expenses incurred, applicable service conditions, and applicable law.



22.⁠ ⁠ALCOHOL AND AGE-RESTRICTED ACTIVITIES

Where an activity recommended or coordinated through TypicaLife involves alcoholic beverages or another age-restricted service, participants must satisfy applicable age and identification requirements.

The applicable independent provider determines whether an age-restricted product or service may legally be supplied.

Clients are responsible for consuming alcohol responsibly.



23.⁠ ⁠GIFT CARDS

Certain TypicaLife gift cards may be offered exclusively to pre-selected or previously approved Clients.

Where this restriction is disclosed:

THIS GIFT CARD IS NOT AVAILABLE FOR UNRESTRICTED PURCHASE BY THE GENERAL PUBLIC.

PURCHASE IS SUBJECT TO PRIOR TYPICALIFE APPROVAL.

An automated Shopify order confirmation, payment receipt, or order number does not constitute approval.

TypicaLife may decline and cancel an order placed without required prior approval.

Where payment has already been collected for an order TypicaLife declines, the amount collected for that declined order will be refunded.

Gift-card expiration, redemption, fees, transferability, cash redemption, and other conditions are subject to applicable federal and state law and the specific conditions disclosed with the gift card.

TypicaLife will not impose an expiration period or fee inconsistent with applicable law.



24.⁠ ⁠FRAUD, MISUSE, AND UNAUTHORIZED TRANSACTIONS

TypicaLife may review, hold, decline, or cancel an order where there is a reasonable basis to suspect:

•⁠ ⁠payment fraud;
•⁠ ⁠unauthorized use of a payment method;
•⁠ ⁠identity or transaction fraud;
•⁠ ⁠gift-card misuse;
•⁠ ⁠promotional abuse;
•⁠ ⁠manipulation of website pricing or functionality; or
•⁠ ⁠other unlawful activity.

TypicaLife may cooperate with payment processors, financial institutions, law enforcement, and lawful governmental requests relating to suspected fraudulent activity.



25.⁠ ⁠PHOTOGRAPHY, VIDEO, VOICE, AND MEDIA

TypicaLife may photograph or record certain events or experiences.

Where an identifiable Client’s image, likeness, voice, photograph, or video is intended for advertising, promotional, or marketing use, TypicaLife will obtain authorization where required by applicable law.

Where promotional consent is optional, refusal to provide consent will not prevent participation in the underlying service unless photography or recording is an essential and clearly disclosed component of that service.

A separate media release, where obtained, will govern the authorized use.



26.⁠ ⁠INTELLECTUAL PROPERTY

The TypicaLife name, branding, website content, original photography, written materials, customized plans, graphics, designs, methodologies, and other proprietary materials are owned by or licensed to TypicaLife and protected by applicable law.

Clients may use materials provided to them for their intended personal purpose.

Unless otherwise agreed in writing, Clients may not reproduce, resell, commercially distribute, publish, or commercially exploit TypicaLife proprietary materials without authorization.



27.⁠ ⁠PRIVACY

Personal information collected by TypicaLife will be handled in accordance with TypicaLife’s Privacy Policy and applicable privacy laws.

Information reasonably necessary to perform a requested service may be provided to relevant independent providers where necessary for authorized coordination or fulfillment.



28.⁠ ⁠PAYMENT DISPUTES AND CHARGEBACKS

Clients are encouraged to contact TypicaLife promptly regarding legitimate billing or service concerns.

Nothing in these Terms prevents a Client from exercising lawful chargeback or payment-dispute rights.

TypicaLife may contest a chargeback it reasonably believes is incorrect, fraudulent, or inconsistent with the transaction or services performed.

TypicaLife may provide lawful supporting evidence to the applicable financial institution or payment processor, including:

•⁠ ⁠transaction records;
•⁠ ⁠service confirmations;
•⁠ ⁠Client communications;
•⁠ ⁠applicable cancellation policies;
•⁠ ⁠proof of authorization; and
•⁠ ⁠evidence of services performed.



29.⁠ ⁠NO RECURRING CHARGES WITHOUT EXPRESS AUTHORIZATION

Unless a service is expressly identified as a subscription, membership, installment arrangement, or recurring-payment service, a TypicaLife purchase does not authorize recurring charges.

Any recurring billing arrangement must be clearly disclosed and affirmatively authorized before charges are made.

Cancellation terms applicable to any recurring arrangement will be disclosed as required by applicable law.



30.⁠ ⁠ELECTRONIC COMMUNICATIONS

By transacting electronically with TypicaLife, Clients consent to receive transactional electronic communications concerning inquiries, orders, payments, services, cancellations, and refunds, subject to applicable law.

Transactional communications do not constitute consent to unrelated marketing communications where separate consent is required.



31.⁠ ⁠WEBSITE ERRORS AND AVAILABILITY

TypicaLife makes reasonable efforts to maintain accurate website information and functionality.

TypicaLife does not guarantee uninterrupted website availability.

An obvious material website, technical, or pricing error does not by itself create an obligation to provide a service on erroneous terms.

Affected paid orders will be corrected, cancelled, or refunded as appropriate and as required by applicable law.



32.⁠ ⁠NO GUARANTEE OF RESULTS

Consulting, advisory, planning, coordination, and concierge services involve professional judgment, recommendations, and assistance based upon circumstances existing at the time.

Unless expressly guaranteed in writing, TypicaLife does not guarantee:

•⁠ ⁠availability of a particular third-party provider;
•⁠ ⁠acceptance by a third party;
•⁠ ⁠a particular financial result;
•⁠ ⁠a particular personal or business outcome; or
•⁠ ⁠that circumstances outside TypicaLife’s control will remain unchanged.

TypicaLife will perform accepted services in accordance with the agreed scope and applicable law.



33.⁠ ⁠NO PROFESSIONAL LEGAL, TAX, MEDICAL, OR FINANCIAL ADVICE

Unless expressly provided by an appropriately qualified professional under a separate engagement, TypicaLife consulting does not constitute legal, tax, medical, investment, accounting, immigration-law, or other regulated professional advice.

Where such advice is required, Clients should consult an appropriately qualified professional.

TypicaLife may coordinate or introduce independent professionals but does not thereby assume responsibility for their independent professional advice.



34.⁠ ⁠CONFIDENTIALITY

TypicaLife will use reasonable care with non-public Client information obtained in connection with an engagement.

Confidentiality does not prevent disclosure:

•⁠ ⁠with the Client’s authorization;
•⁠ ⁠where reasonably necessary to perform the requested service;
•⁠ ⁠to contractors or providers who reasonably require the information;
•⁠ ⁠where the information is already lawfully public;
•⁠ ⁠where disclosure is required by law; or
•⁠ ⁠where reasonably necessary to protect legal rights or safety.

This section is subject to the TypicaLife Privacy Policy and applicable law.



35.⁠ ⁠INDEPENDENT THIRD-PARTY DECISIONS

TypicaLife may assist Clients in communicating with or evaluating independent businesses or professionals.

TypicaLife does not control whether an independent third party accepts a Client, offers a particular price, grants an application, provides availability, or makes another independent decision.

TypicaLife is not responsible for such independent decisions except where applicable law provides otherwise.



36.⁠ ⁠SEVERABILITY

If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision will be limited or severed to the minimum extent necessary.

The remaining provisions will continue in effect to the fullest extent permitted by law.



37.⁠ ⁠NO WAIVER

Failure by TypicaLife to enforce a provision on one occasion does not waive the right to enforce that provision or another provision later.



38.⁠ ⁠ENTIRE AGREEMENT

These Terms, together with:

•⁠ ⁠the applicable service description;
•⁠ ⁠written quotation or proposal;
•⁠ ⁠service-specific conditions;
•⁠ ⁠final acceptance or confirmation;
•⁠ ⁠applicable cancellation policy;
•⁠ ⁠Privacy Policy;
•⁠ ⁠any applicable release or consent; and
•⁠ ⁠additional terms expressly accepted by the Client

constitute the agreement applicable to the relevant TypicaLife service.

Where specifically agreed written terms conflict with these general Terms, the specifically agreed terms control to the extent permitted by law.



39.⁠ ⁠CHANGES TO THESE TERMS

TypicaLife may update these Terms prospectively.

A later version will not retroactively alter material contractual rights or obligations relating to an already accepted service unless agreed by the parties or permitted or required by law.

The version applicable to a transaction is the version presented or made available in connection with that transaction.



40.⁠ ⁠GOVERNING LAW

Except where mandatory law provides otherwise, these Terms and transactions with TypicaLife are governed by the laws of the State of Florida and applicable federal law of the United States, without regard to conflict-of-law principles.

Nothing in this provision eliminates consumer rights that applicable law makes non-waivable.



41.⁠ ⁠JURISDICTION AND VENUE

To the extent permitted by applicable law, disputes arising from these Terms or services provided directly by TypicaLife will be subject to the jurisdiction of a court of competent jurisdiction in the State of Florida.

Nothing in this provision eliminates a jurisdictional or venue right that applicable law does not permit the parties to waive.



42.⁠ ⁠COMPLIANCE WITH APPLICABLE LAW

TypicaLife will comply with federal, Florida, and other laws applicable to the services it actually provides.

Nothing in these Terms is intended to waive, avoid, or mischaracterize a statutory requirement that applies to a particular transaction.

Where mandatory law conflicts with these Terms, mandatory law controls.

IMPORTANT ORDER AND SERVICE NOTICE

ALL ORDERS AND SERVICE REQUESTS ARE SUBJECT TO REVIEW AND FINAL ACCEPTANCE BY TYPICALIFE.
